This Guideline requires the company to prepare minutes of general meetings, and to make them available to shareholders.
Minutes of a meeting serve as an official record of the proceedings. General meetings are required by law. Similarly, their minutes are also required by law.
The Guideline requires that these minutes are made available to shareholders on request. The leading practice is for a company to produce the minutes shortly after the general meeting and post them on its website. This can be more efficient and transparent than producing them at the next general meeting, or at shareholders’ request in the intervening period.
